Terms and Conditions
Last updated: October 6, 2026
These Terms and Conditions (“Terms”) are a binding agreement between you (“Client,” “you,” or “your”) and Lead Sandbox LLC (“Company,” “we,” or “us”). They govern your access to and use of our website, related platforms, and services (together, the “Services”). By requesting a quote, signing a plan page or statement of work, making any payment, or otherwise using the Services, you agree to be bound by these Terms and any plan-specific terms referenced in the applicable plan page. If you do not agree, please do not use the Services.
If you have questions about these Terms, contact us at info@leadsandbox.com.
1. Scope of Services
The Company provides marketing support, data verification and quality checks, contact management and CRM assistance, advisory on compliant outreach, and documentation and reporting for licensed real estate professionals. We do not sell consumer data lists, operate as a list broker, or conduct telemarketing.
2. Eligibility and Authority
You must be at least 18 years old to use the Services. If you accept these Terms on behalf of a brokerage, team, or other business, you confirm that you have authority to bind that business, and that the business will be responsible if you or it breaches these Terms.
3. Order of Precedence
If there is a conflict, the following order applies:
- the executed plan page or statement of work;
- these Terms; and
- the Company’s site policies (including the Privacy Policy and Refund & Cancellation Policy).
4. Fees, Payments, and Taxes
- Fees and payment schedules are set out in your plan page or invoice.
- Payments are due upon receipt unless otherwise specified.
- All prices are in U.S. dollars for U.S. clients, and you are responsible for any applicable taxes.
- By giving us a payment method, you confirm you are authorized to use it and you authorize us, or our third-party payment processor, to charge it for the amounts due under your plan or invoice. Payments are handled by secure third-party providers, and we do not store complete card numbers.
- We may pause or terminate the Services for late or declined payments.
5. Refunds and Cancellations
Refunds and cancellations are governed by our Refund & Cancellation Policy and any plan-specific terms in your plan page.
6. Client Responsibilities
You agree to:
- Provide accurate and complete information and share only data you are authorized to use.
- Conduct all outreach and communications lawfully, including compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, Do Not Call (DNC) rules, and applicable state privacy laws.
- Hold all licenses, consents, and permissions needed for the contacts you send us and for the way you contact them.
- Follow up in a timely way on introductions, appointments, and deliverables.
- Keep your account details and any credentials you share with us accurate and secure, and tell us promptly if you suspect unauthorized access.
- Refrain from misusing deliverables or the website, including any unlawful, harassing, infringing, or abusive conduct.
7. Prohibited Conduct
You will not, and will not allow anyone else to:
- Use the Services for any unlawful, deceptive, or discriminatory purpose, or in violation of any law that applies to your business or your contacts.
- Send us contact data you obtained unlawfully or for which you do not have the right to share or use.
- Use the Services to send spam, unsolicited or unlawful messages, or messages that misrepresent who you are.
- Impersonate any person or business, or misstate your affiliation with any person or business.
- Attempt to interfere with, disrupt, overload, reverse engineer, or gain unauthorized access to our website, systems, or any other client’s information.
- Resell or redistribute our methods, templates, or deliverables except as these Terms allow.
We may suspend or restrict the Services if we reasonably believe you are in breach of this section or of applicable law. To report abuse, email info@leadsandbox.com.
8. Data Ownership & Compliance
- You retain ownership of the contact lists and other data you provide (“Client Data”). We use Client Data only to deliver the Services to you, as described in our Privacy Policy.
- You keep control over and responsibility for how you contact prospects, and you must maintain your own compliance processes and consents. We may help you verify or organize data, but we do not take on your compliance obligations.
- If a person asks us directly not to receive communications, we may add them to an internal exclusion list and, where practical, tell you so you can update your records.
- You agree to indemnify, defend, and hold harmless the Company and its affiliates from any claims, damages, or liabilities arising from your outreach, messaging, or misuse of data.
9. SMS and Text Messaging
If we send you text messages, or you use the Services in connection with text messaging, the following applies in addition to our separate SMS Terms:
- Opt-out: reply STOP at any time to cancel text messages. You will receive one confirmation message, and then no further messages unless you opt in again.
- Help: reply HELP for assistance, or email info@leadsandbox.com.
- Frequency and rates: message frequency varies, and standard message and data rates may apply. Consent to receive messages is not a condition of purchase.
- Carriers: carriers are not liable for delayed or undelivered messages.
- Privacy: see our Privacy Policy for how we handle your information.
9A. SMS Program Description and Messaging Use Cases
Program description. LeadSandbox operates a text messaging program to communicate with people who have agreed to hear from us by SMS, such as prospective and current clients. Messages are sent from LeadSandbox and relate to our marketing support, data verification, contact management, and CRM assistance services for licensed real estate professionals.
Messaging use cases. If you opt in, you may receive:
- Appointment reminders: confirmations and reminders for calls, onboarding sessions, and meetings you have scheduled with us.
- Follow-up messages: replies to your inquiry or quote request, updates on your project or deliverables, and check-ins after a conversation.
- Billing inquiries: invoice notices, payment reminders, and questions about your account.
Who receives messages. We send texts only to people who have given consent, for example by submitting an online form on our website with the SMS consent box checked. We do not send text messages to purchased or rented lists.
Message frequency. Frequency varies by the type of communication, and you may receive up to 10 messages per day depending on your appointments or account activity.
Example message: “Hi [Name], this is LeadSandbox confirming your onboarding call on [Date] at [Time]. Reply STOP to opt out or HELP for help.”
Replying STOP ends the program for your number, and replying HELP returns support details. See Section 9 above and our SMS Terms & Conditions for opt-out, fees, and carrier details.
10. Intellectual Property and Deliverables
- The Company keeps all rights, title, and interest in its proprietary methods, templates, materials, website content, trademarks, and logos.
- Upon full payment, the Company grants you a non-exclusive, non-transferable, revocable license to use deliverables solely for your internal business purposes.
- Any use of the Company’s name, logos, or testimonials for marketing or case studies requires your prior written consent, which you may revoke by written notice.
- Any ideas, comments, or suggestions you send us about the Services (“Feedback”) are non-confidential, and we may use them to improve the Services without payment or credit to you.
11. Third-Party Services
Some parts of the Services rely on third-party tools, such as CRM platforms, email services, and payment processors. Your use of those tools may be subject to the third party’s own terms. We do not control and are not responsible for third-party content or services, and we make no promises about them.
12. Confidentiality
Each party agrees to keep confidential all non-public information received from the other and to use it solely to perform obligations under these Terms. This does not apply to information that is public through no fault of the receiving party, or that must be disclosed by law or legal process.
13. Disclaimers
- The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not guarantee any specific outcomes, including but not limited to listings, closings, or revenue, or that verified data will be complete or error-free.
- Platform or site availability may vary and is not guaranteed.
- You are solely responsible for deciding whether the Services suit your business and for complying with the laws that apply to you and your contacts.
14. Limitation of Liability
To the fullest extent permitted by law, the Company’s total aggregate liability for any claim arising out of or related to these Terms shall not exceed the total fees you paid to the Company in the three (3) months immediately preceding the event giving rise to the claim. The Company shall not be liable for any indirect, special, incidental, consequential, or punitive damages, or lost profits, even if advised of the possibility. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
15. Termination
Either party may terminate these Terms for material breach if the breach is not cured within ten (10) days of written notice. Upon termination, you shall pay for all Services rendered through the effective termination date. The sections on Data Ownership & Compliance, Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Governing Law, and Amendments survive termination.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Before filing any claim, each party agrees to first try to resolve the dispute informally by contacting the other in writing. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Denver, Colorado, and each party consents to that jurisdiction.
17. General
- Entire agreement: these Terms, together with your plan page or statement of work and our site policies, are the entire agreement between you and the Company about the Services.
- Severability: if any provision is found unlawful or unenforceable, the rest remains in effect.
- No waiver: a delay or failure to enforce a right is not a waiver of that right.
- Assignment: you may not assign or transfer these Terms without our prior written consent.
- Electronic communications: you agree that we may send notices and other communications to you electronically, including by email, and that these satisfy any legal requirement for written notice.
- Headings: section titles are for convenience only and have no legal effect.
18. Amendments
We may update these Terms at our discretion. Changes will be posted on this page with an updated “Last updated” date. Continued use of the Services after any update means you accept the revised Terms.
